CHARITY LAW LAWYER

Carters is currently looking for a Charity Law Lawyer with a minimum of two to three years experience in charity and not-for-profit law with a focus in corporate and tax law to join our team of charity and not-for-profit lawyers. The successful candidate will work on a wide variety of files including those dealing with incorporations, applications for charitable status, gift planning and providing advice on complex corporate and tax structuring. The successful candidate will be able to work remotely with in person connection being available at either our Ottawa or Orangeville office locations.

A Civil Litigation Associate with three to eight years' experience to service our Toronto practice located at 67 Yonge Street, Suite 1402, Toronto ON. Experience in general corporate/commercial litigation is fundamental, and other areas such as charities and estate litigation would be an asset. Strong drafting and research skills, along with substantive court experience, including motions and trial experience are essential. SENIOR LAW CLERK - ORANGEVILLE

Carters Professional Corporation is one of the leading firms in Canada in the area of charity
and not-for-profit law, with offices in Toronto, Ottawa and Orangeville. The successful candidate will be required to work out of our Orangeville office located at 211 Broadway, Orangeville, Ontario.

Responsibilities:

  • Organize, plan and prioritize work depending on the current requirements.
  • File and submit charitable applications and related documentation through the Canada Revenue Agency online portal, and monitor status of filings and documentation
  • Prepare draft documentation including correspondence, agreements, resolutions and by laws
  • Review incoming correspondence to determine urgency and work with lawyer accordingly
  • Maintain and review lawyer’s calendar daily and proactively schedule and handle upcoming events
  • Maintain and input all file information into document management system
  • Converse with potential clients to set up initial call / meeting with the senior lawyer
  • Perform other duties as assigned

Qualifications:

  • Law clerk certificate or diploma
  • A minimum of 5 years experience in corporate/commercial law is preferable.
  • Experience with charitable and not-for-profit clients would be an asset but not essential. 
  • Strong word processing skills are required
  • Familiarity with PC Law and Worldox is an asset.
  • The ability to work independently as well as work as part of a team environment is required.
  • Excellent communication and inter-personal skills are necessary.

LEGAL ASSISTANT | LAW CLERK - OTTAWA

We are looking for a knowledgeable and experienced Legal Assistant/Law Clerk to join our team in Ottawa on a full-time permanent basis.

The successful candidate will be detail-oriented, highly motivated, and able to perform full legal administrative support for one of our charity lawyers.

Responsibilities:

  • Prepare and file articles and corporate documentation relating to incorporations, amendments and continuances under the Canada Not-for-Profit Corporations Act and the Ontario Not for Profit Corporations Act(ONCA)
  • File and submit charitable applications and related documentation through the Canada Revenue Agency online portal, and monitor status of filings and documentation
  • Draft and file extra-provincial and territorial registrations, amendments, notices of change and annual returns on behalf of corporations as required by the various provinces and territories, including the Corporations Information Act (Ontario)
  • Conduct preliminary searches for name availability, obtain NUANS report, obtain name reservation report and federal pre-approval where applicable, proactively maintain currency of name reservations
  • Prepare draft documentation including but not limited to correspondence, agreements, resolutions and by laws
  • Review incoming correspondence to determine urgency and work with lawyer accordingly
  • Maintain and review lawyer’s calendar daily and proactively schedule and handle upcoming events
  • Maintain and input all file information into document management system
  • Perform other office and administration duties as required in a shared office

Qualifications:

  • Legal Assistant or Law Clerk diploma, or relevant combination of education and work experience
  • Ability to multi-task in a fast-faced environment is required
  • Experience with Microsoft Office is required, specifically MS Word
  • Working knowledge of Worldox, NetDocs, PCLaw or Soluno are an asset
  • Excellent priority setting skills with the flexibility and adaptability to respond to shifting business needs
  • High professional standards with an energetic, positive attitude to build partnerships and relationships
  • High attention to detail is required
  • Excellent analytical, organizational, proof-reading, and editing skills
  • Strong communication skills (both written and verbal)
  • Ability to work independently and as a team
  • Ability to take initiative and work proactively
